Terms of service
These terms govern the services Deskuria LLC provides. They are written for business customers and are governed by the law of the State of Colorado. A signed engagement or managed plan takes priority where it conflicts with these terms.
We provide services exclusively to businesses and organizations. We do not offer consumer or personal-device support. Minimum engagement: organizations with 10 or more staff who need access.
1. Who may use our services
Our services are available to businesses, public bodies and organisations only, and we consider an organisation eligible when it has ten or more staff who need access. We do not provide services to consumers, households or individual private users, and nothing in these terms creates any consumer right. By engaging us you confirm that you act for an organisation and have authority to bind it.
2. What we provide
We design, configure and operate arrangements that let an organisation's own people reach its internal systems. The precise scope of any engagement is described in the written arrangement or plan we agree with you. We may refine how the service is delivered, provided the agreed scope is maintained.
3. What we do not provide
We do not repair, diagnose or service equipment, and we do not support privately owned machines. Access under our arrangements is limited to equipment the organisation owns or has approved. Matters falling outside the agreed scope are not part of the service, and we may decline them.
4. Your responsibilities
- Provide accurate information about your roles, systems and estate.
- Name a point of contact and obtain internal approvals when the policy requires them.
- Tell us promptly about starters, leavers and role changes.
- Use the arrangement lawfully and keep your own records where your obligations require it.
5. Fees and payment
Fees are set out in your quote or plan. Unless agreed otherwise, invoices are payable within thirty days of the invoice date. Amounts outstanding beyond their due date may attract interest, and we may suspend the service after giving notice where an invoice remains unpaid without explanation.
6. Our responsibilities
We will deliver the service with reasonable skill and care, meet the published commitments in force for your engagement, keep the records we promise, and tell you promptly if something materially affects the arrangement.
7. Limits of liability
To the fullest extent the law allows, we are not liable for indirect or consequential loss, lost profit, lost data or business interruption. Our total liability for any engagement is limited to the fees paid for that engagement in the twelve months before the event giving rise to the claim. Nothing here excludes liability that cannot lawfully be excluded.
8. Term, suspension and termination
An engagement runs for the period agreed and renews as stated in your plan. Either party may end the arrangement on the notice set out in the plan. On termination we withdraw access in an orderly way and provide the records you are entitled to receive.
9. Confidentiality and data protection
Each party will protect the other's confidential information and use it only for the engagement. Personal information is handled as described in our privacy policy, and where we handle information on your behalf we do so on your instructions.
10. Governing law and disputes
These terms are governed by the laws of the State of Colorado, without regard to conflict of law rules. The parties will attempt to resolve any dispute through good-faith discussion before starting proceedings, and the courts of Colorado have jurisdiction where proceedings are necessary.
11. Changes
We may update these terms from time to time. Material changes apply to new engagements from the date we publish them, and to existing engagements where the law or your agreement permits, with notice to your point of contact.
